New ID Requirements for Company Directors

From autumn 2025, Companies House will introduce mandatory identity verification for all company directors and persons of significant control (PSCs) under the Economic Crime and Corporate Transparency Act 2023. Though voluntary verification has been open since 8 April 2025, the new rules represent a major change for corporate governance.

Who is affected?

  • New directors and PSCs: Must verify identity before appointment or incorporation from autumn 2025.
  • Existing directors and PSCs: Have a 12 month transition window—until autumn 2026—to verify via their next confirmation statement.
  • Agents and filers: Individuals filing on behalf of companies (e.g., secretaries, ACSPs) must verify by spring 2026.

Why the change?

The reforms aim to tackle widespread fraud and counterfeit director identities (e.g., “Darth Vader”) by ensuring the integrity of the Companies House register. Over 100,000 false records have already been removed during the voluntary phase.

How to verify

Three verification routes are available and all are free via Companies House:

1. Online via GOV.UK One Login – scan passport/driving licence and take a selfie.
2. Post Office in person check – for those without suitable digital ID
3. Through an authorised corporate service provider (ACSP) – e.g., accountants or solicitors; this option may incur fees. Upon completion, directors receive a unique personal code, to be included with filings once the rules are live.

Risks of non compliance

Failing to verify risks:

  • Inability to be appointed or act as a director.
  • Filing blocks or penalties for the individual and the company, and potential disqualification.
  • Unlimited fines or criminal liability for continuing to act without verifying their identity.

  • Encourage directors to verify during the voluntary phase, reducing risk and avoiding last minute rushes.
  • Ensure ACSPs and your team are ready to support the process.
  • Verify all existing directors ahead of confirmation statement deadlines post autumn 2026.
